Terms of Service
When you successfully register as a user (“User”) of the WMS Warehouse Management System service (the “Service”) provided by Zhidong Human-Machine Collaboration Co., Ltd. (hereinafter referred to as “Zhidong”), you are deemed to have agreed to these Terms of Service (the “Terms”). Please read these Terms carefully before registration.
- Merchants who wish to register as Users of the Service must carefully read and agree to these Terms of Service and the Subscription Commitment, Privacy Policy, and Consent Clauses before registration. Upon completion of registration, whether as a corporate entity, individual merchant, or paid subscriber, all Users are bound by these Terms.
- Zhidong reserves the right to amend or modify these Terms.
- Any such changes will be published on Zhidong’s official website, along with the date of publication. Users may check the latest version of these Terms on the official website at any time.
- Unless otherwise announced, modifications or changes shall take effect from the date of publication. Users are encouraged to regularly review the Terms and pay attention to any updates.
- Continued use of the Service after modifications shall constitute deemed acceptance of the revised Terms.
- Zhidong’s related technologies are provided only to account holders who have paid the required fees.
- Zhidong will use the primary email address associated with the User’s main account as the primary communication channel.
- Users are responsible for safeguarding their account and password. If a User becomes aware of unauthorized access or use of their account or password, they must immediately notify Zhidong. Any damages or losses suffered by the User or third parties due to the User’s failure to secure their account and password shall be borne solely by the User.
- During the process of uploading activities, content, images, links, or data to Zhidong’s systems, Users must not transmit worms, viruses, or any destructive code.
- Users are fully responsible for all data within their account, including basic account information, product content, and related data such as statistics, images, and links. Merchants must not use Zhidong’s services for any illegal or unauthorized commercial purposes.
- Zhidong reserves the right to retain or delete User accounts and account data. If a User’s subscription expires without payment and the User does not log into the account, Zhidong may delete the account data after sending email notification.To retain account access and data, Users must pay all fees on time and log in regularly. In the event of judicial orders, Zhidong may provide retained or deleted data for investigation purposes.
- The Service is provided for internal warehouse management purposes only. Zhidong shall not be involved in any User’s external marketing activities.
- During the lawful use of the Service, if any business information or consumer personal data is stolen, tampered with, damaged, lost, leaked, or misused, the User shall bear full responsibility unless such incident is attributable to Zhidong. The User shall handle all necessary measures, including negotiations with consumers, responses to authorities, compliance with inspection requirements, and legal notifications, while Zhidong will provide reasonable assistance.
- Without prior written consent from Zhidong, Users may not copy, sell, rent, transfer, sublicense, or otherwise allow third parties to use the Service, nor may they assign any rights or obligations under these Terms. Unauthorized transfers may result in immediate termination of the Service by Zhidong.
- Users shall not use the Service for any illegal purpose or in any illegal manner and must comply with the laws and regulations of the Republic of China (Taiwan) and all international internet practices. Users outside Taiwan agree to comply with the laws of their jurisdiction. Users must not engage in any conduct that infringes the rights of others or violates applicable law through the Service.

- Users are solely responsible for acquiring and maintaining all necessary hardware, software, internet connections, browsers, and bandwidth required for using the Service.
Scope and Limitations
- The WMS Warehouse Management System provided by Zhidong is available to registered and paid subscribers without limitation on business type or product category. Zhidong does not guarantee exclusivity to any market or User.
- In the event of account ownership disputes, Zhidong has the right to freeze the account until ownership is verified. Users must provide relevant documentation, including but not limited to business registration and payment proof.
- Zhidong reserves the right to determine account ownership and transfer the account to the rightful owner.
- The Service is provided “as is” and billed according to the official website announcement or contractual agreement.
- Zhidong does not guarantee that the Service will be uninterrupted, timely, secure, or error-free.
- Zhidong does not guarantee that any results obtained from the use of the Service will be accurate or reliable.
- Zhidong reserves the right to modify, suspend, or terminate the Service, in whole or in part, due to system repairs, hardware/software updates, maintenance, poor network quality, or force majeure events such as natural disasters. Zhidong shall not be liable for any resulting damages.
- If Zhidong is found liable for damages due to a breach of these Terms, liability shall be limited to the total system usage fees paid by the User during the billing period. Zhidong shall not be liable for any indirect, consequential, incidental, punitive, or special damages, including lost profits, unless otherwise required by law.
- Zhidong will comply with governmental investigation requests, including but not limited to tax authorities reviewing merchant sales data.
Third-Party Tools
- Users who utilize third-party tools must ensure they are familiar with such tools and agree to the applicable terms of use. Zhidong is unable to monitor or control the outcomes generated by third-party tools. Users must also ensure that the terms of service and privacy policies of such tools comply with the laws of the Republic of China (Taiwan). Users agree to immediately notify Zhidong in the event of any information security concerns arising from the use of third-party tools.
- For user convenience, Zhidong may provide links to third-party tools. Such links are provided solely for convenience and do not imply endorsement of, or affiliation with, the content or services of such third parties.
- Zhidong does not guarantee the suitability, timeliness, effectiveness, or accuracy of third-party content.
- When users follow links provided by Zhidong to external websites, they must exercise their own discretion in deciding whether to proceed. Zhidong bears no liability for any damages incurred by users or consumers as a result of accessing third-party websites.
- Before using third-party tools, Zhidong recommends that users fully understand all terms and details of such tools. Zhidong shall not be liable for any damages resulting from the use of third-party tools.
Intellectual Property Rights
- Zhidong does not claim ownership of any data provided by merchants. All content uploaded by users remains the property of the user. Users may delete their accounts at any time, upon which Zhidong will also remove all associated content. By uploading images, text, or descriptions to the Zhidong WMS, and unless otherwise agreed between the parties, users consent to Zhidong accessing, managing, and storing such data within the scope defined by these Terms.
- All content of the Zhidong WMS, including but not limited to trademarks, works, images, files, documents, information, data, and member records, is owned by Zhidong or its rightful licensors and is protected under intellectual property laws. No person may use, modify, reproduce, broadcast, transmit, perform, adapt, distribute, publish, publicly display, reverse engineer, decompile, or disassemble such content without authorization.
- If users wish to cite or reproduce content from the Zhidong WMS in any publication or website, prior written consent from Zhidong or the rightful owner must be obtained. Any violation shall render the user liable for damages to Zhidong or the relevant rights holder.
- If Zhidong reasonably believes that user or consumer data has been subject to unauthorized access, use, control, disclosure, destruction, alteration, or other forms of compromise, Zhidong shall immediately take appropriate countermeasures to mitigate or control the damage. Zhidong must notify the user within 24 hours and provide necessary information to assist the user in notifying competent authorities and/or consumers. If Zhidong is unable to provide complete information within this timeframe, such information shall be provided in installments.
Termination
Upon termination of these Terms or the Service, Zhidong shall delete or destroy, in an appropriate manner, all user and consumer data in its possession (including backups). No data shall be retained in any form.
Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan).
- Any dispute arising from or relating to these Terms shall first be resolved through good-faith negotiation between the parties. If such dispute cannot be resolved through negotiation and litigation becomes necessary, both parties agree that the Taipei District Court of Taiwan shall have exclusive jurisdiction as the court of first instance.
